Agreement to Terms

By accessing or using the Boxed platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Be legally permitted to work in your jurisdiction
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Not have been previously terminated from the platform

Account Registration

When you create an account, you must provide accurate, complete, and current information. You are responsible for safeguarding your account password and for any activities or actions under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

Task Completion

When completing tasks on our platform, you agree to:

• Complete tasks honestly and to the best of your ability
• Not use automated tools, bots, or scripts to complete tasks
• Not share task content with third parties
• Not attempt to manipulate or game the quality assurance system
• Follow all task-specific instructions and guidelines
• Not create multiple accounts to circumvent platform rules

Compensation

Payment terms for contributors:

• Compensation rates are displayed before task acceptance
• Payments are processed weekly on Fridays
• There is no minimum payout threshold
• You are responsible for any applicable taxes on your earnings
• We reserve the right to withhold payment for fraudulent or low-quality work
• Payment disputes must be raised within 30 days of the payment date

Intellectual Property

All content you create or provide while completing tasks on our platform becomes the property of Boxed and/or our clients. You grant us a worldwide, royalty-free, perpetual, irrevocable license to use, modify, distribute, and create derivative works from your contributions. The Boxed platform, including its original content, features, and functionality, is owned by Boxed and is protected by international copyright, trademark, and other intellectual property laws.

Confidentiality

You may have access to confidential information through task completion. You agree not to disclose, share, or use any confidential information obtained through the platform for any purpose other than completing assigned tasks. This obligation survives termination of your account.

Prohibited Activities

You may not:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Submit false or misleading information
• Harass, abuse, or harm other users
• Violate any applicable laws or regulations
• Reverse engineer or attempt to extract source code

Account Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Any earned but unpaid compensation will be paid according to our standard payment schedule, unless termination was due to fraud or Terms violation.

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding the operation of the Service or the information, content, or materials included therein. We do not guarantee continuous, uninterrupted, or secure access to the Service, and task availability may vary.

Limitation of Liability

To the maximum extent permitted by law, Boxed shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, resulting from your access to or use of the Service. Our total liability shall not exceed the amount you have been paid by us in the twelve months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Boxed and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Monaco, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in Monaco.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before the new terms take effect. What constitutes a material change will be determined at our sole discretion. Continued use of the Service after changes constitutes acceptance of the new Terms.
